These Terms of Service ("Terms") govern your access to and use of Octupie, a product operated by Octupie Technologies Private Limited ("Octupie", "we", "us", or "our"), a company incorporated in India with its registered office at No. 2, Goura's Nilayam, Vallakottai Murugan Street, Keelakattalai, Tambaram, Kanchipuram 600117, Tamil Nadu, India.

By creating an account, subscribing, or otherwise using Octupie (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Octupie is an AI powered software tool that helps content creators generate short-form video scripts in their own style. The Service is provided on a subscription basis through our website at octupie.com.

We may update, improve, or change features of the Service over time. We will give reasonable notice of any material change that reduces core functionality you pay for.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at shivank@octupie.com if you suspect unauthorized use.

3. Subscriptions, billing, and payments

Subscriptions are offered on the plans and at the prices shown on our pricing page. Prices may change, and we will give notice of any change before it applies to your next renewal.

Our order process and payments are conducted by our online reseller and merchant of record, Paddle.com Market Limited ("Paddle"). Paddle handles the transaction, provides customer service for billing questions, and issues invoices and receipts. When you subscribe, you also agree to Paddle's buyer terms and privacy policy, available at paddle.com. Paddle, as merchant of record, is responsible for collecting and remitting applicable sales tax and VAT.

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless cancelled before the renewal date. By subscribing, you authorize recurring charges to your payment method through Paddle until you cancel.

4. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals. Your access continues until the end of the current paid period. Refunds, where applicable, are governed by our Refund Policy.

5. Acceptable use

You agree not to:

Use the Service for any unlawful, harmful, or fraudulent purpose.
Generate content that is illegal, infringing, defamatory, hateful, or that violates the rights of others.
Attempt to reverse engineer, copy, resell, or create a competing product from the Service.
Interfere with or disrupt the Service, or attempt to gain unauthorized access to our systems.
Use automated means to extract data from the Service except as we expressly permit.

We may suspend or terminate accounts that breach these Terms.

6. Your content and AI generated output

You retain ownership of the inputs you provide (your prompts, brand details, and materials). Subject to your compliance with these Terms, you own the script outputs you generate through the Service and may use them for your own creative and commercial purposes.

You are responsible for reviewing AI generated output before you use or publish it. AI output can contain errors or unintended similarities to existing material, and you are responsible for ensuring your use complies with applicable law and third-party rights.

You grant us a limited licence to process your inputs and outputs solely to provide, maintain, and improve the Service, as described in our Privacy Policy.

7. Intellectual property

The Service, including its software, models, design, and branding, is owned by Octupie and protected by law. These Terms do not transfer any ownership of the Service to you. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

8. Service availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis. We may perform maintenance, and we may suspend the Service where necessary for security or legal reasons.

9. Limitation of liability

To the maximum extent permitted by law, Octupie will not be liable for any indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. On termination, your right to use the Service ends. Sections that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or through the Service before it takes effect. Continued use after the change means you accept the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu, India will have jurisdiction over any dispute, subject to any mandatory consumer protection rights available to you in your country of residence.
